Executive Leadership: Yes – Member of the Executive Leadership Team.
Equity Eligible: Yes – Eligible to participate in the Company’s Equity Incentive Plan, subject to Board approval and applicable vesting provisions.
Compensation: $220,000–$300,000 annually, depending on qualifications, relevant experience, and demonstrated expertise in corporate, securities, intellectual property, healthcare, and technology law, plus benefits and equity participation.

About The Opportunity

About the Opportunity

The Founding General Counsel & Corporate Secretary will serve as MYDENTALWIG’s chief legal officer, principal legal advisor, and corporate governance leader, responsible for establishing the Company’s legal, governance, and compliance foundation as it evolves from an early-stage technology company into a global artificial intelligence platform enterprise.

Working directly with the Founder & CEO and the Board of Directors, the Founding General Counsel & Corporate Secretary will oversee all legal matters affecting the Company, including corporate governance, securities law, fundraising transactions, intellectual property strategy, commercial contracting, artificial intelligence governance, healthcare and regulatory compliance, employment law, privacy and cybersecurity, enterprise risk management, and international legal strategy. As Corporate Secretary, the role will also be responsible for supporting the Board of Directors, maintaining corporate records, overseeing governance procedures, preparing Board resolutions and meeting materials, and ensuring compliance with applicable corporate laws and governance best practices.

The Founding General Counsel & Corporate Secretary will coordinate the work of specialized outside counsel—including securities, intellectual property, healthcare, tax, employment, litigation, and international legal advisors—while developing MYDENTALWIG’s internal legal capabilities. This executive will establish the Company’s legal policies, governance frameworks, contract management processes, compliance programs, and enterprise legal operations, ensuring that every significant corporate action, strategic initiative, financing transaction, partnership, and business decision is legally sound, properly documented, and aligned with applicable laws, regulations, and the Company’s long-term strategic objectives.

Key Responsibilities

Corporate Governance

• Advise the Founder, CEO, Board of Directors, and executive leadership.
• Prepare Board resolutions and corporate governance documents.
• Maintain corporate records and legal compliance.
• Develop governance policies and delegated authority frameworks.
• Support future Board committee formation.

Securities & Capital Markets

• Oversee legal compliance relating to Regulation D fundraising.
• Coordinate with external securities counsel.
• Review all investor communications.
• Support future Regulation A+, IPO, or public company readiness.
• Ensure compliance with federal and state securities laws.
• Manage due diligence for financing transactions.

Intellectual Property Strategy

• Coordinate worldwide patent strategy.
• Manage trademarks.
• Protect copyrights.
• Oversee trade secret protection.
• Develop internal IP ownership policies.
• Coordinate with patent firms globally.
• Support licensing and technology transfer.

Commercial Contracts

Lead review and negotiation of:

Internal Legal Department Development

Build MYDENTALWIG’s legal function by:

External Counsel Management

The Founding GC will manage specialized outside counsel, including firms focused on:

• Securities law
• Intellectual property
• Patent prosecution
• FDA and healthcare law

• Mergers & acquisitions
• Litigation
• Real estate
• Government relations

The GC serves as MYDENTALWIG’s central legal coordinator, ensuring consistent legal strategy across all external advisors.

Required Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active license and good standing with at least one U.S. state bar.
• Significant experience in corporate legal practice, with in-house and/or major law firm experience preferred.
• Strong background in corporate governance, venture financing, and securities law.
• Experience managing complex commercial transactions.
• Knowledge of intellectual property strategy, technology licensing, and software agreements.
• Familiarity with privacy, cybersecurity, and emerging AI regulatory frameworks.
• Ability to manage multidisciplinary outside counsel across multiple jurisdictions.

This role positions the General Counsel as both the Company’s principal legal advisor and the architect of its long-term legal infrastructure, helping MYDENTALWIG grow from an early-stage venture into a mature global enterprise while maintaining sound governance and legal compliance.
